Frederick is with the firm’s corporate practice, specialising in mergers and acquisitions and corporate transactions.

Having worked on corporate transactions including various corporate acquisitions, Frederick has also gone to develop more than 10 years of experience in the healthcare and consumer healthcare industry which was gained in his in-house position in a multi-national pharmaceutical (and previously consumer healthcare) company. During his time spent in the organisation, he has assumed responsibilities in advising on legal issues relating to Singapore (when he assumed the legal director role) as well as legal issues relating to a cluster in Hong Kong, Taiwan and Singapore (when he assumed the cluster legal lead role).

In the healthcare and life sciences industry, Frederick was responsible for both operational and transactional aspects of companies which include advising on supply contracts for active pharmaceutical ingredients in the manufacturing process, pricing and supply of medicines contracts with both public and private healthcare practices, advising on cross-border transactions globally, and advising on digital projects.

He has also supported multiple divestments and investment deals most notably the recent divestment by the company of its consumer healthcare group where he led the due diligence over multiple countries in Asia Pacific including China, Japan, South Korea, Taiwan, Hong Kong, Singapore, Australia and New Zealand. In his capacity as in-house counsel, he was also the lead lawyer coordinating and supporting the divestment of certain brands in Greece and Italy as part of the transactions.

His contributions and expertise in the various operational and transactional aspects was recognised when he was awarded the Lex-Falcon Legal Award in 2022 for outstanding lawyers with more than 10 years of experience and recognised as the top 5 in-house counsels in Southeast Asia by ALB in 2023.

Frederick’s profile as a corporate lawyer is enhanced by the fact that his breadth of experience includes the operational and transactional aspects of corporations. This allows him to provide seamless support to both investment and operational teams before, during and even after business acquisitions. He has honed his expertise in operational and transactional aspects through his work with complex multi-national pharmaceutical and healthcare businesses.

He has also had the opportunity to advise on multiple digital and artificial intelligence projects across the globe ranging from marketing tools to tools for insights developments in issues including but not limited to works council responses, privacy matters and coming up with mitigation steps to manage the risks both from a technical and a process perspective.

Frederick also acted as a company secretary for at least 4 different Singapore companies where he led the maintenance of corporate secretarial work including preparation of resolutions for transactional deals. He was appointed the data protection officer for companies based in Singapore and assumed the responsibilities in advising privacy operational matters.

Frederick has supported a number of both private equity and public listed mergers and acquisition transactions where he supported due diligence, contracts drafting and preparation, contract negotiations as well as post-completion integration of the companies. His experience spun across food and beverage industries, water treatment industries and airline ticketing industries. Some of the notable transactions include:

• assisted a pharmaceutical company in advising and leading the transaction for the disposal of certain medically critical assets in Austria and Germany as well as the negotiation of a distribution agreement with the then distributor as part of the disposal;
• assisted in an acquisition by a pharmaceutical company of shares in off-shore companies which in turn held shares in Indian listed entities
• led the due diligence process and also the divestment of certain joint assets in a major cross-border divestment by a pharmaceutical company in its consumer healthcare business;
• led the transaction by a local major conglomerate in the private acquisition of a chain of restaurants in Singapore;
• supported the Singapore leg of an acquisition by a major Japanese food company in its acquisition of a chain of fast food restaurants in Singapore;
• assisted the Singapore leg of a major global acquisition of infant nutrition business by another major consumer healthcare company;
• advised a major airline ticketing company in its private acquisition of shares in companies in Australia; and
• advised the voluntary takeover of a water solutions company in a reverse listing process.
